LIMITED LIABILITY COMPANY "BOOKMAKER COMPANY "Parik24", operating under the License for the organization and conduct of online casino gambling activities, issued on 04/20/21 based on the decision of the Commission for the Regulation of Gambling and Lotteries No. 137 dated 04/05/2021, License for the organization and conduct of bookmaking activities dated 12/28/2022, issued in accordance with the decision of the Commission for the Regulation of Gambling and Lotteries on the issuance of license No. 433 dated 12/13. 2022 (hereinafter referred to as the "Organizer"), on the one hand, and an individual who, at the time of concluding this Agreement on participation in a gambling game (hereinafter referred to as the "Agreement") by accepting a public offer (offer), has reached the age of 21, has full civil capacity, is not included in the Register of persons whose access to gambling establishments and/or participation in gambling is restricted, and of their own free will uses the Organizer's Website pariwin.net (hereinafter referred to as the "Website") and/or the Parik24 mobile application (hereinafter referred to as the "Mobile Application") to participate in gambling (hereinafter referred to as the "Player"), on the other hand, (hereinafter collectively referred to as the "Parties", and each individually referred to as a "Party"), have entered into this Agreement as follows:

1. terms and definitions

Acceptance - provision by the Player of full and unconditional consent to the conclusion of this Agreement in full, by registering on the Organizer's Website and creating a player's client account.

Gambling - any game, the condition for participation in which is the Player to make a bet that gives the right to receive a win (prize), the probability of receipt and the amount of which fully or partially depend on chance, as well as knowledge and skill of the Player.

Responsible gambling is a basic principle of organization and conduct of gambling games, which provides for the implementation by the organizers of gambling games of measures to prevent and minimize the negative consequences of participation of an individual in gambling, as well as measures aimed at organizing self-restrictions and self-control for players.

The Organizer's Website is the website owned by the Organizer and located at pariwin.net, through which the Organizer provides services for organizing and conducting online gambling. For the purposes of this Agreement, the term "Organizer's Website" also includes the Parik24 mobile application.

Win (prize) - funds, property, property rights to be paid (given) to the player in case of his winning a game of chance in accordance with the publicized rules of such game of chance.
Player - a natural person who at the time of participation in a gambling game has reached the age of 21, is legally capable, is not in the Register of persons to whom access to gambling establishments and/or participation in gambling games is restricted, and participates in a gambling game at will.

Player's client account (personal account) - part of the online system of the gambling organizer, which provides the Player with full information about his actions, agreements concluded with the gambling organizer, the balance of electronic money substitutes, as well as containing information necessary for the identification of the Player.

The Parik24 mobile app is a computer program (software) designed for use on mobile devices, which facilitates the organization and conduct of gambling activities through an online system. For the purposes of this Agreement, the general term "Organizer's Website" is used.

Gambling organizer / Organizer — a legal entity, Limited Liability Company "BOOKMAKER COMPANY "Parik24", which, on the basis of the obtained licenses, carries out business activities in organizing and conducting casino gambling on the Internet, organizing and conducting bookmaking activities in accordance with the Law of Ukraine "On state regulation of activities related to the organization and conduct of gambling."

Offer - the Organizer's offer to the Player to conclude this Agreement on participation in the gambling game, on the terms and conditions set out in the Agreement, which is posted on the Organizer's Website.

Rules of the Organizer - the rules of the Organizer of casino gambling on the Internet and betting activities, rules of casino gambling on the Internet, rules of participation in betting, rules on sports, posted on the Organizer's Website pariwin.net.

Register of persons who have restricted access to gambling establishments and/or participation in gambling - a database containing information on individuals who, in accordance with submitted applications or by court decision, are restricted from visiting gambling establishments and participating in gambling.

Bet - money or game substitute of hryvnia, which is transferred by the player to the organizer of the gambling game, is a condition for participation in the gambling game and based on the amount of which in accordance with the rules of such a gambling game determines the amount of winnings (prize).

All other definitions and terms are used in this Agreement in accordance with their definitions and wording according to the Organizer's Rules and requirements of the current legislation of Ukraine.

2. Subject matter and general provisions

2.1 This Public Offer Agreement (Gambling Participation Agreement) is a contract of adhesion within the meaning of Article 634 of the Civil Code of Ukraine and can be concluded only by adhesion of the other party to it as a whole.

2.2 In accordance with the terms of this Agreement, the Organizer offers services to organize and conduct casino gambling on the Internet, organizing and conducting betting through the Organizer's Website (hereinafter also - Services), and the Player, after registration on the Organizer's Website has the opportunity to bet and participate in gambling on the Organizer's Website, according to the Organizer's Rules.

2.3 By registering on the Organizer's Website the Player thereby confirms that he accepts the terms of this Agreement, as well as fully familiarized with the Rules, Privacy Policy, Loyalty Program and other documents and policies of the Organizer, posted on the Organizer's Website, and agrees to comply with them in full. The agreement on participation in the gambling game is considered to be concluded from the moment the Organizer accepts a bet from the player in the gambling game.

2.4 To register, the Player must correctly and fully fill in all the required fields of the corresponding application on the Organizer's Website in the prescribed form. The form includes both personal data of the Player and additional (non-personalized) data necessary for further identification when restoring access to the personal account. To create a client account of the player in the Organizer's system and participate in gambling, the Player must undergo the identification procedure (verification, data establishment) in accordance with the requirements of current legislation and the Rules of the Organizer.

2.5 The rules of casino gambling on the Internet, rules of participation in betting, rules for sports determine the special rules and conditions of participation in the relevant game (bet) and are posted on the Organizer's Website. The fact of placing a bet confirms the Player's familiarization and agreement with the Organizer's Rules and conditions of participation in a particular game (bet).

2.6 The Player warrants that at the time of entering into this Agreement he has reached the age of 21, has full civil capacity and is not in the Register of persons who have restricted access to gambling establishments and / or participation in gambling, and at his own will enters into this Agreement, and his will is free and in accordance with his inner will. The Player guarantees that he is not under the influence of drugs or alcohol and has no other legal restrictions to enter into this Agreement and participate in gambling.

2.7 If the Player, despite the prohibition established by the current legislation, as well as this Agreement and the Rules of the Organizer, took part in the gambling game, such agreement on participation in the gambling game, concluded between the Organizer and such Player, is null and void, and payment (issuance) of winnings (prizes) under such an agreement is not carried out.

2.8 If the Player does not agree with the terms of this Agreement and/or the Rules of the Organizer, he is obliged to stop using the Organizer's Website.

2.9 The Organizer confirms that it has the right to carry out activities to organize and conduct gambling on the basis of licenses and in accordance with the requirements of the Law of Ukraine "On State Regulation of Activities on Organization and Conduct of Gambling".

2.10 The Parties agree that this Agreement shall be legally effective, binding on the Parties and shall not require further signing by the Parties in paper or electronic form.

2.11 The Organizer has the right to make changes to this Agreement without prior personal written notice to the Players. The Players are notified of the changes made by posting the relevant information on the Organizer's Website.

2.12 All gambling casino games on the Internet are conducted according to the established rules. The procedure and terms of making bets to participate in the gambling game, their size, the procedure for determining the result of the gambling game, payment terms and the procedure for calculating the amount of winnings (prize) for each of the Organizer's gambling games are defined in the rules of the relevant gambling game, which are posted on the Organizer's Website and / or in the menu of the relevant game.
